Terms of Service — Proof of Effort (PoE)

1. Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of the seekingproof.com website and the Proof of Effort service and software (“PoE,” the “Service”) provided by Khepri Humetric Solutions, Inc., a Delaware corporation (“Khepri,” “we,” “us”). By accessing the website, installing the Software, or purchasing a license, you agree to these Terms. If you do not agree, do not use the Service.
The in-client End User License Agreement (EULA) presented when you install the Software also applies to your use of the Software. If there is a conflict between the EULA and these Terms with respect to software licensing, the EULA controls for that subject matter; these Terms otherwise govern.
The Service is intended for customers in the United States. All prices are in United States dollars (USD). If you access the Service from outside the United States, you are responsible for compliance with your local laws, and our Privacy Policy provides additional disclosures for users in regions where the GDPR, UK GDPR, or comparable laws may apply.
2. Eligibility
You must be at least 18 years old to purchase or use the Service. By using the Service you represent that you meet this requirement. Where PoE is deployed by an educational institution to students under 18, the institution is responsible for its own consents and for compliance with applicable student-privacy and child-privacy laws (including FERPA), and Khepri serves solely as a service provider under that deployment.
3. The Service; What PoE Is and Is Not
PoE is a measurement tool. It produces content-free, non-biometric behavioral metadata about writing activity and generates a score and a portable “.poe” artifact reflecting the degree to which observed activity is consistent with authentic human composition. PoE provides data, not verdicts: it does not decide guilt, authorship disputes, or academic-integrity outcomes. Institutions and individuals are responsible for the policies and decisions they build on PoE’s output.
PoE does not capture document content or raw keystroke timing, and does not perform biometric identification. See the Privacy Policy for details.
You are responsible for disclosing pasted, templated, or pre-existing content as your institution or context requires. PoE records such content as unverified; it does not conceal or penalize disclosed reuse.
4. Licenses and Tiers
Subject to these Terms and the EULA, we grant you a non-exclusive, non-transferable license to use the Service according to your active tier:
Free tier: scoring, artifact verification, and artifact import.
Paid tier: additionally, telemetry capture, artifact generation, merge, and strip-data features for the duration of an active subscription.
A paid license binds to a single installation via an install fingerprint. Reinstalling your operating system or moving to a different computer may require a new license; we may, at our discretion, permit a one-time grace rebind via support.
You may not resell, sublicense, reverse engineer, circumvent license enforcement, or attempt to extract non-public aspects of the Service, except to the extent such restriction is prohibited by applicable law.
5. Subscriptions, Billing, and Refunds
Payments are processed by Stripe. By purchasing a subscription you authorize recurring charges as described at checkout.
Monthly: USD $8.99 per month, charged in advance.
Monthly (Student): USD $6.99 per month, charged in advance.
Yearly: USD $90.00 per year, charged in advance.
Yearly (Student): USD $75.00 per year, charged in advance.
Auto-renewal: Your subscription automatically renews at the end of each billing cycle at the then-current price until you cancel. You will be charged the applicable renewal price unless you cancel before the end of your current billing period. You may cancel at any time through the Manage Subscription link on seekingproof.com or by contacting support@kheprisol.com.
Cancellation: Cancellation takes effect at the end of the current billing period. Your paid features remain available through the end of the period for which you have already paid. No further charges will occur after the cancellation date.
Refunds: All fees are non-refundable. Because subscriptions may be cancelled at any time to prevent future charges, we do not offer refunds for the current or any prior billing period. Statutory rights that cannot be waived under applicable law remain unaffected.
Price changes: We may change subscription prices with reasonable prior notice. Price changes take effect at the start of your next billing cycle following notice, and continued use after the effective date constitutes acceptance of the new price.
Continued availability of paid features through the end of your paid period is subject to the periodic connectivity requirement in Section 6.
California Automatic Renewal Disclosure.
Your subscription is an automatic renewal plan under California Business and Professions Code §17600 et seq. By purchasing, you consent to the following: (a) your subscription will automatically renew at the end of each billing period at the then-current price unless you cancel; (b) you may cancel at any time through the Manage Subscription link on seekingproof.com or by emailing support@kheprisol.com, and cancellation will take effect at the end of the current billing period; (c) you will receive confirmation of your subscription terms, cancellation policy, and how to cancel at the email address associated with your Stripe account before your first charge; and (d) you authorize Stripe to charge your payment method on a recurring basis at the applicable rate until you cancel.
Notice to EU/UK Users.
If you are a consumer in the EU or UK, you may have a statutory right to withdraw from your subscription within 14 days of purchase under the EU Consumer Rights Directive (2011/83/EU) or the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. By beginning to use the Service during the withdrawal period, you acknowledge that you may lose your right of withdrawal once the Service has been fully performed. Auto-renewal terms are subject to local consumer-protection requirements; nothing in these Terms limits any mandatory right you have under the laws of your country of residence.
Notice to California Users.
Under California Civil Code §1789.3, California users are entitled to the following consumer-rights notice: The provider of the Service is Khepri Humetric Solutions, Inc., 3680 Wilshire Blvd Ste. P04 #A142, Los Angeles, CA 90010 (support@kheprisol.com). Charges are as stated above. If you have a complaint regarding the Service, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254.
6. Service Availability
Scoring and artifact generation require an active internet connection to our servers. Paid features additionally require your installation to successfully contact our licensing servers at least once every thirty (30) days. If your installation has not reached our servers within that period, paid features are suspended until the next successful connection, at which point they resume automatically for the remainder of your paid term. This requirement applies regardless of the length of your billing period.
7. Acceptable Use
You agree not to use the Service to violate law; to submit content you have no right to submit; to attempt to defeat, game, or misrepresent the measurement; to interfere with the Service’s operation or security; or to use the Service to harm others. We may suspend or terminate access for violations.
8. Intellectual Property
The Service, including its software, scoring models, algorithms, documentation, and the PoE and Proof of Effort marks, is owned by Khepri and protected by intellectual-property law, including copyright, trade secret, and patent law (patent pending). These Terms grant you no rights in our intellectual property except the limited license described above. Your documents and the “.poe” artifacts you generate remain yours; we claim no ownership of your content.
9. Your Content and Artifacts
You retain all rights to the documents you create. The “.poe” artifact is yours to keep, share, and have verified by anyone. We process content-free behavioral metadata solely to provide the Service as described in the Privacy Policy.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that PoE’s scores or findings will be accurate for every document or suitable for any particular decision. PoE is an evidentiary and measurement aid, not a determinative test.
If you are a consumer in the EU or UK, the above does not exclude or limit any statutory warranty or guarantee that cannot be excluded or limited under the Consumer Rights Act 2015 (UK) or the EU Consumer Sales Directive (2019/771), including any right to goods and services that conform to the contract and are fit for purpose. Any implied warranty that cannot be disclaimed is limited to the minimum period and scope required by applicable law.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KHEPRI’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR COST OF SUBSTITUTE SERVICES.
If you are a consumer in the EU or UK, the above does not exclude or limit liability for (a) death or personal injury caused by our negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be excluded or limited under the Consumer Rights Act 2015 (UK), the EU Consumer Rights Directive (2011/83/EU), or other mandatory provisions of the laws of your country of residence.
This limitation mirrors the liability cap in the in-client EULA and the Privacy Policy. In the event of any conflict, the narrower limitation governs.
12. Indemnification
You agree to indemnify, defend, and hold Khepri and its officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your misuse of the Service or violation of these Terms; (b) your violation of any third-party right, including any intellectual-property, copyright, trademark, or privacy right; (c) any claim that your use of the Service infringes or misappropriates a third party’s intellectual property; or (d) your use of PoE’s output in a manner that causes harm to any person, to the extent permitted by law.
If you are a consumer in the EU or UK, this indemnification obligation applies only to the extent permitted by the Consumer Rights Act 2015 (UK), the EU Unfair Contract Terms Directive (93/13/EEC), and other mandatory consumer-protection provisions of the laws of your country of residence. In particular, you are not required to indemnify Khepri for losses arising from our own negligence, breach of contract, or failure to comply with our legal obligations.
13. Termination
We may suspend or terminate your access for violation of these Terms or abuse of the Service. On termination, your right to use paid features ends; your existing “.poe” artifacts remain valid and verifiable. Provisions that by their nature should survive — including intellectual property (Section 8), disclaimers (Section 10), liability limits (Section 11), indemnification (Section 12), and dispute resolution (Section 14) — survive termination.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules.
Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state and federal courts located in Los Angeles County, California, and you irrevocably consent to the personal jurisdiction of those courts. Small-claims matters below the jurisdictional threshold of the selected court may be brought in any court of competent jurisdiction.
You and Khepri each waive any right to a jury trial in any dispute arising out of or relating to these Terms.
Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual-property rights.
If you are a consumer in the EU or UK, nothing in this section deprives you of any mandatory right under the Brussels I Regulation (EU 1215/2012), the UK Consumer Rights Act 2015, or equivalent legislation to bring proceedings in the courts of your country of residence. You may also use the European Commission’s Online Dispute Resolution platform (ec.europa.eu/odr) where applicable. The jury-trial waiver in this section does not apply to consumers in jurisdictions where such waivers are prohibited by law.
15. Changes to These Terms
We may modify these Terms with notice via the seekingproof.com portal. Material changes will be identified by a revised “Last updated” date. Continued use of the Service after the effective date of a change constitutes acceptance of the revised Terms.
The posted Terms and the in-client EULA should be versioned together so they do not diverge. In the event of a conflict between a newer version of these Terms and an older version of the EULA, these Terms govern except with respect to software-licensing matters, where the EULA controls.
